Welcome to PolyPrism! These Terms and Conditions ("Terms") govern your use of the PolyPrism website, services, and applications (collectively, the "Service"), operated by PolyPrism ("we," "us," or "our").
Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
1. Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service (e.g., Google Login).
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
2. Subscriptions and Billing
Our Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select.
Renewal: At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it.
Cancellation: You may cancel your Subscription renewal either through your online account management page or by contacting our support team. The cancellation will take effect at the end of the current Billing Cycle.
Payment: A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide us with accurate and complete billing information. By submitting such payment information, you automatically authorize us to charge all Subscription fees incurred through your account to any such payment instruments.
Fee Changes: We, in our sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Refunds: Except when required by law, paid Subscription fees are non-refundable.
3. User-Generated Content
Our Service allows you to create, upload, store, and manage brand assets and other content ("User Content"). You are solely responsible for the User Content you post on or through the Service, including its legality, reliability, and appropriateness.
Ownership: You retain any and all of your rights to any User Content you submit, post or display on or through the Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for User Content you or any third party posts on or through the Service.
License to Us: By creating or uploading User Content using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and distribute such User Content on and through the Service solely for the purpose of operating, developing, providing, and using the PolyPrism Service.
AI-Generated Content: Content generated by the AI features of the Service based on your input is considered User Content. You retain ownership rights to the unique, final creative work you produce using the AI tools, subject to the terms of the underlying AI models. We do not claim any ownership rights over the output you generate.
Responsibility: You represent and warrant that: (i) the User Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
4. Acceptable Use
You agree not to use the Service:
In any way that violates any applicable national or international law or regulation.
To upload or generate any material which is illegal, defamatory, infringing, obscene, or hateful.
To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
To reverse engineer or otherwise attempt to discover the source code of the Service.
5. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of PolyPrism and its licensors. The Service is protected by copyright, trademark, and other laws of both [Your Country] and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent.
6. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and cancel your subscription as outlined in Section 2.
7. Disclaimer of Warranties & Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied.
In no event shall PolyPrism, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
